Incorporation Procedure

  • 1 Secure pre-approval of the enterprise name with the Shanghai Administration of Industry and Commerce (SAIC)
  • 2 Obtain approval certificate form or Filing at the Shanghai Municipal Commission of Commerce (SMCC)
  • 3 Register business with SAIC
  • 4 Produce company seals (after obtaining police approval)
  • 5Register with the Foreign Exchange Administration Bureau
  • 6 Open bank accounts
  • 7Once the business has been set up, other registrations and filings are required, including as a Foreign Trade Operator, with Customs, the SMCC, E-port, Inspection & Quarantine

Documents required

  • 1 International companies need to provide a copy of their Incorporation Certificate, which has been notarized by a local notary public and authenticated by an embassy or consulate of the People’s Republic of China; or by a foreign individual holding a foreign passport and a valid visa 
  • 2 A copy of their legal representative’s Chinese ID card or Foreign passport.
  • 3 Appointment and identification documents of the new company’s director(s) and supervisor(s)
  • 4 Office documents, including leasing contracts and real estate ownership certificates
  • 5 Up to three company names, business scope, registered capital, total amount invested, the currency details of capital injected, and how long the company intends to operate
